Articles of Incorporation of Como Community Council – District 10
We, the undersigned, citizens of the United States and residents of the State of Minnesota, for the purposes of forming a corporation under the provisions of Chapter 317, Minnesota statues, known as the Minnesota Non-Profit Corporation Act, do hereby associate ourselves together as a body corporate and adopt the following Article of Incorporation:
ARTICLE I
The Name of this corporation shall be: Como Community Council – District 10
ARTICLE II
The purposes for which this corporation is formed are as follows: to operate exclusively for charitable, literary and educational objectives and endeavors. These activities will be conducted so as to unite, in common cause, residents, business persons, employees and organizations in the area described below in a contiunuing effort to promote harmonuous environmental conditions and favorable community relationships and to undertake such charitable and educational actions and services as may, by its membership, be determined to be desireable to serve the above purposes. No part of the activities of the corporation shall be based upon or discriminate in relation to , the race, religion, sex, color or national origin of persons affected thereby.
The area referred to above is part of the City of St. Paul, Minnesota:
On the north, Hoyt from Snelling to Hamline; Hamline from Hoyt to Larpenteur; Larpenteur from Hamline to Dale. On the East, Dale from Larpenteur to Maryland; Lexington from Como Lake Drive to Burlington Northern RR tracks. On the South, Maryland from Dale to Como Lake Drive; Como Lake Drive to Lexington; Burlington Northern RR tracks from Lexington to Snelling. On the West, Snelling from Burlington Northern RR tracks to Wynne; Wynne from Snelling to Aldine; Aldine from Wynne to Como; Como from Aldine to Snelling; Snelling from Commo to Hoyt.
In furtherance of, and not in litigation of the gereral powers conferred by the laws of the State of Minnesota, on a non-profit corporation, and the objects and purposes therein set forth, it is expressly provided that this non-profit corporation shall also have the following powers:
- Acting through its Executive Board and officers, subject to the powers and resrictions of these Articles of Incorporation and its By-Laws, to do all such lawful acts as are necessary or convenient to the attainment of the objects and purposes herein set forth, and to this same extent and as fully as any natural person might or could do.
- To purchase, lease, hold, sell, mortgage or otherwise aquire or dispose of real or personal property; to enter into, make perform or carry out contracts of every kind with any person, firm, corporation or association; to do any acts necessary or expedient for carrying on any and all of the activities and pursuing any and all of the objects and purposes set forth in these Articles of Incorporation and not forbidden by the laws of the State of Minnesota.
ARTICLE III
No part of the net earnings of the corporations shall insure to the benefit of, or be distibutable to, its memebers, directors, officers or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered, and to make payments and distributions in furtherance of the powers and purposes set forth in Article Second hereof.
ARTICLE IV
The corporation shall have no capital stock.
ARTICLE V
The period of duration of the corporate existence of the corporation shall be perpetual.
ARTICLE VI
The location of the registered office of the corporation shall be Saint Paul, Ramsey County, Minnesota.
ARTICLE VII
No member of this corporation shall have any personal liability for corporation obligations.
ARTICLE VIII
Proxy and cumulative voting are prohibited.
ARTICLE IX
No substantial part of the activities of the corporation shall be the carrying on of propaganda or otherwise attempting to influence legislation and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law) or (b) by a corporation, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Code).
ARTICLE X
Upon the dissolution of the corporation, the Executive Board shall, after paying or making provision for the payment of all the liabilities of the corporation, dispose of all of the assets or the corporation exclusively for the purposes of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational, religious or scientific purposes as shall at the time qualify as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law), as the Executive Board shall determine. Any such assets not so disposed of shall be disposed of by the District Court of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations as said Court shall determine, which are organized and operated exclusively for such purposes.
